An investment company established as a protected cell company and registered as a closed-ended private investment fund by the Guernsey Financial Services Commission

 

The Company is established as a "Qualifying Private Investor PIF" as described in Private Investment Fund Rules and Guidance, 2021. It is suitable only for investors who fall within the definition of "Qualified Investors" (or “QIFs”) published by the Guernsey Financial Services Commission (the "Commission"). Further information in relation to the regulatory treatment of QIFs in Guernsey may be found on the website of the Commission atwww.gfsc.gg.

The Company is a closed-ended protected cell company governed by the provisions of the Companies Law. Persons investing in and dealing with a Fund of the Company shall only have recourse to and their interest shall be limited to the assets from time to time attributable to that Fund and they shall have no recourse to the assets of any other Fund or, except as provided under the Companies Law, against any non-cellular assets of the Company.

 

The Company has been registered by the Guernsey Financial Services Commission under the Protection of Investors (Bailiwick of Guernsey) Law, 1987, as amended as a closed-ended private investment fund. In registering the Company as a scheme, the Guernsey Financial Services Commission does not vouch for the financial soundness of the Company or for the correctness of any of the statements made or opinions expressed with regard to it.
